RALK Licence Terms

Version 2026-10 · applies to licences for the RALK Training Platform (app.ralk.io)

1. Parties and scope

These Licence Terms govern the contract between RALK, Inh. Dina Boyele Kraus, Hafenstraße 25–27, 68159 Mannheim, Germany ("RALK", the contractor) and the organisation named in the order ("Customer", the client). They apply exclusively to businesses, public bodies and other organisations, not to consumers. Conflicting terms of the Customer do not apply.

2. Conclusion of the contract

2.1 The Customer places a binding order online at ralk.io/order or by signed order form. The person placing the order confirms that they are authorised to bind the Customer.

2.2 The contract is concluded when RALK confirms the order in writing or by email, or when RALK grants access, whichever is earlier.

2.3 RALK records the version of these Licence Terms accepted, the time of acceptance and the person who accepted them.

3. Services

3.1 RALK provides online access to the RALK Training Platform for the term of the licence: role-based compliance training modules, assessments, certificates with verification, manager dashboard and reports.

3.2 Training content is developed under the responsibility of RALK’s financial-crime compliance experts on the basis of FATF standards and applicable regulation. RALK uses artificial intelligence as a tool to prepare content and to adapt it to each learner’s role, sector and country. The underlying modules, scenarios and assessment logic are reviewed by RALK’s experts and are kept under regular review. The content is training material and does not constitute legal advice. The Customer remains responsible for its own compliance with applicable laws.

3.3 RALK aims for high availability but does not guarantee uninterrupted access. Planned maintenance is announced where reasonably possible.

4. Licence and seats

4.1 RALK grants the Customer a non-exclusive, non-transferable right, limited to the term, to use the platform for its own employees.

4.2 The licence includes the number of user seats ordered. Each active user account uses one seat. Seats may not be shared between persons. Additional seats can be booked at any time at the rate of the Customer's size band.

4.3 The Customer may not resell, sublicense or make the platform available to third parties, copy or reverse-engineer it, or use it to develop a competing product.

5. Customer obligations

5.1 The Customer keeps access data confidential and is responsible for all activities carried out under its accounts.

5.2 The Customer may not upload unlawful content or use the platform in a way that impairs its security or operation.

6. Prices and payment

6.1 Prices are set out in the price list at ralk.io or in the order at the time of ordering. The annual licence fee per employee depends on the size of the organisation; a minimum annual licence fee applies. If an organisation falls into a cheaper size band, the annual licence fee is at least the fee of the largest organisation in the band below. Prices are the same for all customers; individual discounts are not granted. There is no set-up fee.

6.2 Licence fees are payable annually in advance. Payment is made by card via a secure payment link provided with the invoice (or by other payment methods offered by RALK). Invoices are payable on receipt. Access is activated once payment has been received.

6.3 Taxes and withholding tax. All prices are net amounts. Any taxes, duties or levies arising in the Customer's country — in particular withholding tax, value added tax or sales tax — are the sole responsibility of the Customer and are borne by the Customer in addition to the price. They may not reduce the amount received by RALK. If the Customer is required by law to withhold any amount, the payment shall be increased so that RALK receives the full invoiced amount. The Customer provides RALK with the official withholding certificate on request.

6.4 Fees charged to the Customer by its card issuer or bank (for example foreign transaction or currency conversion fees) are borne by the Customer.

6.5 If the Customer is in default of payment for more than 14 days, RALK may suspend access after prior notice until full payment is received.

6.6 RALK may adjust prices with effect from the next renewal with at least 60 days' notice. The Customer may then terminate the contract with effect from the end of the current term.

7. Term and termination

7.1 The contract runs for 12 months from activation and renews automatically for a further 12 months unless terminated with 30 days' notice before the end of the current term.

7.2 The right to terminate for good cause remains unaffected. Fees already paid are not refunded, except in the case of termination for good cause attributable to RALK.

7.3 After the end of the contract the Customer can export its training records for 30 days. RALK then deletes the Customer's data unless statutory retention obligations apply.

8. Data protection

RALK processes personal data of the Customer's users as a processor on behalf of the Customer under a data processing agreement. Details are set out in the privacy policy at check.ralk.io/privacy.

9. Intellectual property

The platform, software, brand and training content remain the property of RALK or its licensors. Certificates issued to the Customer's users may be used by the Customer as evidence of training.

10. Liability

RALK is liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence RALK is liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract and in total to the licence fees paid in the twelve months before the claim.

11. Final provisions

11.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 Place of jurisdiction for all disputes arising from or in connection with this contract is Mannheim, Germany.

11.3 If the English and French versions differ, the English version prevails. Should any provision be invalid, the remaining provisions remain unaffected.
